2. WEBSITE USE
Use of This Website
You may use this website for lawful informational and business purposes. You must not attempt to gain unauthorised access to the website, interfere with its operation, introduce malicious code, misuse forms or communication channels, scrape protected content in breach of applicable rights, or use the website for unlawful, fraudulent or abusive activity.
Product information, images, specifications and availability may change from time to time. We aim to keep information accurate, but website content is general information and does not by itself constitute a binding quotation or contractual commitment.
3. QUOTATIONS & ORDERS
Quotations, Purchase Orders and Acceptance
A quotation is an invitation to proceed on the stated scope, pricing and conditions. An order becomes binding only when accepted by Cubyte Soft in accordance with the applicable quotation, purchase order, sales order, invoice or other agreed document.
Changes to quantity, site conditions, wiring, civil works, network requirements, software scope, third-party integration, travel, access restrictions or customer requirements may require a revised quotation.
Where a customer purchase order contains additional terms that were not expressly accepted by Cubyte Soft, the applicable Cubyte Soft quotation or separately signed agreement will continue to govern unless otherwise agreed in writing.
4. PRICING & PAYMENT
Pricing, Taxes and Payment
Prices are as stated in the relevant quotation, product page, invoice or agreement and may be subject to applicable taxes, delivery, installation, travel, subscription or other charges as specified.
Payment terms, deposits, credit arrangements and due dates are determined by the relevant quotation, invoice or approved account terms. Failure to make payment when due may result in suspension of delivery, installation, support, subscription access or other services where permitted by the applicable agreement and law.
5. DELIVERY & INSTALLATION
Delivery, Site Readiness and Installation
Delivery and installation dates are estimates unless expressly confirmed as fixed. Timing may depend on stock availability, site readiness, access, customer approvals, third-party work, network availability and other factors outside our reasonable control.
The customer is responsible for providing safe and reasonable site access, suitable power and network conditions where required, necessary permits or approvals, and accurate information about doors, walls, cabling, existing systems and other site conditions.
Additional work caused by concealed site conditions, changes in scope, unsuitable cabling, structural constraints or work not included in the quotation may be charged separately with customer approval where practicable.
6. PRODUCTS & COMPATIBILITY
Hardware, Firmware and Integration
Hardware features, capacities, firmware, interfaces and compatibility vary by model and version. Compatibility with cloud services, third-party software, payroll systems, access controllers, ANPR, turnstiles, lifts or other systems is subject to the specific device, firmware, integration method and project scope.
Unless expressly stated in writing, no representation is made that every product is universally compatible with every third-party system or future software release.
7. SOFTWARE & CLOUD
Licences, Subscriptions and Hosted Services
Software and cloud services may be supplied under subscription, licence, user, module, device, company or other usage limits stated in the applicable quotation or service plan.
Customers are responsible for maintaining authorised user access, accurate account information and reasonable security of usernames, passwords, devices and administrator credentials.
Service features may evolve over time. Planned maintenance, third-party outages, internet connectivity, customer networks or events beyond our reasonable control may affect service availability. Any specific service-level commitment must be expressly agreed in writing.
8. CUSTOMER DATA
Data and Customer Responsibilities
Customers remain responsible for ensuring that personal data, employee information, biometric data, access permissions and other content uploaded or processed through a system are collected and used lawfully for their organisation.
Where Cubyte Soft processes personal data on behalf of a customer in connection with a hosted system or support activity, the parties’ respective responsibilities may also be governed by the Privacy Notice, service documentation and any applicable data-processing terms.
9. WARRANTY & SUPPORT
Warranty, Defects and Technical Support
Warranty periods and coverage depend on the product, manufacturer, package or quotation. Warranty generally applies to qualifying defects under the relevant warranty terms and does not automatically cover damage caused by misuse, unauthorised modification, accident, unsuitable power, lightning, water ingress, environmental conditions, physical damage, third-party work or other excluded causes.
Technical support, onsite attendance, spare parts, reinstallation, retraining and work outside the original project scope may be chargeable depending on the applicable warranty, support plan or quotation.
10. CANCELLATIONS & RETURNS
Cancellation, Return and Refund Requests
Cancellation, return or refund eligibility depends on the nature of the order, product condition, customisation, software or licence activation, installation status, supplier commitments and the terms stated in the relevant quotation or invoice.
Customised items, special-order items, activated licences, completed services and installed products may not be cancellable or refundable except where required by applicable law or expressly agreed in writing.
11. THIRD-PARTY PRODUCTS
Manufacturers and External Services
Cubyte Soft supplies and integrates products and services from multiple manufacturers and technology providers. Third-party products, cloud platforms, apps, payment services, communication tools and integrations may be subject to their own terms, licences, privacy practices, warranties and service limitations.
Cubyte Soft is not responsible for changes made independently by a third-party provider that are outside our reasonable control, although we will provide support according to the agreed scope.
12. INTELLECTUAL PROPERTY
Website, Software and Materials
Unless otherwise stated, the Cubyte Soft name, Timetera brand materials, website content, original documentation, designs and other proprietary materials are protected by applicable intellectual-property rights.
No licence is granted to reproduce, resell, reverse engineer, republish or commercially exploit proprietary content or software except as expressly permitted by an applicable licence or written agreement.
13. CONFIDENTIALITY
Confidential Business Information
Each party should protect confidential information received in connection with a quotation, project, system configuration, technical support case or commercial relationship and should use that information only for the relevant business purpose, subject to legal disclosure requirements.
14. LIABILITY
Reasonable Allocation of Risk
To the maximum extent permitted by applicable law, Cubyte Soft will not be liable for indirect, incidental, special or consequential loss arising from use of the website or from circumstances outside the agreed project scope or our reasonable control.
Any liability relating to a particular supply or service remains subject to the applicable quotation, contract, warranty and mandatory legal rights. Nothing in these terms excludes or limits any right or liability that cannot lawfully be excluded or limited.
15. FORCE MAJEURE
Events Beyond Reasonable Control
Cubyte Soft will not be responsible for delay or failure caused by events beyond our reasonable control, including major network or utility failures, supplier disruption, natural events, government restrictions, labour disruption, cyber incidents affecting third-party infrastructure or similar events, provided reasonable efforts are taken to manage the impact.
16. LAW & CHANGES
Governing Law and Updates
These general terms are governed by the laws of Malaysia. Any dispute should first be raised with Cubyte Soft so the parties can attempt to resolve it in good faith before pursuing other available remedies.
We may update these website Terms & Conditions from time to time. The latest version will be published on this page with the updated date.
